Reseller Agreement

Effective date: June 1, 2026

This Reseller Agreement ("Agreement") is between you (the "Reseller") and Enzonic LLC, a Kentucky limited liability company ("Enzonic"), and governs your operation of a hosting business on the Reseller Cloud platform. It supplements the Terms of Service.

1. Independent Business

You operate an independent business and are the merchant of record for sales to your customers. Nothing in this Agreement creates a partnership, joint venture, agency, or employment relationship. You may not represent yourself as Enzonic or bind Enzonic to any obligation.

2. Provisioning

When your customer purchases a plan, Enzonic provisions the corresponding server on its infrastructure through the Enzonic Cloud API. Enzonic owns and operates the underlying infrastructure; you are responsible for defining plans, support, and customer relationships for your storefront.

3. Pricing, Commission & Payments

  • You set the retail price for each plan.
  • For every purchase, Enzonic collects the exact underlying infrastructure cost of the server plus a flat 3% commission on the retail price as an application fee via Stripe Connect.
  • Customer funds are processed through your connected Stripe account; you receive the retail price minus the application fee and Stripe's processing fees.
  • You are responsible for ensuring your retail prices cover infrastructure cost, our commission, processing fees, refunds, chargebacks, and applicable taxes.

4. Stripe Connect

You must connect a Stripe account and complete Stripe's onboarding and identity verification. Your use of Stripe is subject to the Stripe Connected Account Agreement. Enzonic is not responsible for funds held, delayed, or reversed by Stripe.

5. Branding & Attribution

You may customize your storefront with your own name, logo, colors, theme, and domain. A "Powered by Enzonic Cloud" attribution must remain visible on your storefront unless your Enzonic account holds an active Enzonic Premium plan, which permits its removal. You may not use Enzonic trademarks except for the provided attribution.

6. Customer Accounts & Data

End-customer accounts on your storefront are operated through Enzonic Auth on your behalf. You are the controller of your customer data and are responsible for your own privacy disclosures, support, refunds, and dispute handling.

7. Compliance

You and your customers must comply with the Acceptable Use Policy and all applicable laws, including consumer-protection, tax, and data-protection laws in the jurisdictions where you sell.

8. Suspension & Termination

Enzonic may suspend or terminate your reseller account or specific servers for breach of this Agreement, non-payment, fraud, abuse, or risk to the Platform. On termination, outstanding infrastructure costs and commissions remain payable, and provisioned servers may be suspended or deleted.

9. Liability

Enzonic's liability under this Agreement is limited as set out in the Terms of Service. You are solely responsible for your business, your customers, and any claims arising from them, and you agree to indemnify Enzonic accordingly.

10. Governing Law

This Agreement is governed by the laws of the Commonwealth of Kentucky, and disputes shall be resolved exclusively in the state or federal courts located in Kentucky.
