Terms of Service | Reseller Cloud

These Terms of Service ("Terms") govern your access to and use of the Reseller Cloud platform provided by Enzonic LLC, a Kentucky limited liability company ("Enzonic," "we," "us," or "our"), available at reseller.cloud.enzonic.com(the "Platform"). The Platform lets you (the "Reseller") create and operate a branded game-server hosting business. By creating an account or using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years old and able to form a binding contract to operate a reseller business on the Platform. By using the Platform you represent that the information you provide is accurate and that you have authority to bind any business entity you register on behalf of.

2. The Reseller Relationship

The Platform enables you to resell hosting capacity that Enzonic provisions on your behalf. You are an independent business, not an agent, partner, employee, or franchisee of Enzonic. You set your own retail prices and contract directly with your end customers. Your use of the Platform is also governed by the Reseller Agreement.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at admin@enzonic.com of any unauthorized use.

4. Fees

Enzonic charges the underlying infrastructure cost of each server you sell plus a flat commission of three percent (3%) of each customer purchase, collected through Stripe Connect at the time of sale. You are responsible for setting retail prices sufficient to cover these amounts and any applicable payment-processing fees and taxes. We may adjust infrastructure pricing or the commission rate with at least 30 days' notice.

5. Acceptable Use

You and your end customers must comply with our Acceptable Use Policy. You are responsible for enforcing equivalent terms against your own customers and for content hosted through your storefront.

6. Service Availability

We aim to provide a reliable Platform but do not guarantee uninterrupted access. We may perform scheduled or emergency maintenance. We are not liable for losses arising from downtime or interruptions.

7. Intellectual Property

The Platform, including its software and Enzonic trademarks, is owned by Enzonic LLC or our licensors. You retain ownership of your brand assets and customer data, and grant us a limited license to host and process them solely to provide the Platform. The "Powered by Enzonic Cloud" attribution must remain visible unless your account holds an active Enzonic Premium plan.

8. Termination

We may suspend or terminate your account for violation of these Terms, non-payment, fraud, or to protect the Platform or its users. Upon termination, provisioned servers may be suspended and your right to use the Platform ceases.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ENZONIC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE COMMISSIONS PAID BY YOU TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify and hold harmless Enzonic LLC and its officers, employees, and agents from any claims, damages, or expenses (including reasonable attorneys' fees) arising from your business, your customers, your use of the Platform, or your violation of these Terms.

12. Governing Law

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to conflict-of-law principles. Disputes shall be resolved exclusively in the state or federal courts located in Kentucky, and you consent to personal jurisdiction there.

13. Changes

We may update these Terms at any time and will notify you of material changes by email or in-Platform notice. Continued use after changes take effect constitutes acceptance.
